1. Acceptance of Terms
These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", "User") and Rslip ("Rslip", "we", "us", "our") governing your access to and use of the website at rslip.com and the Rslip web application (collectively, the "Service").
By creating an account, ticking the "I agree to the Terms and Privacy Policy" checkbox, or otherwise accessing or using the Service, you confirm that (a) you have read, understood and agree to be bound by these Terms and the Privacy Policy; (b) you are at least 18 years of age; and (c) you have full legal capacity to enter into this agreement, either on your own behalf or on behalf of the business entity you represent. If you do not agree, do not use the Service.
2. Definitions
- "Account" means the unique tenant created for you upon signup.
- "Customer Content" means all data, files, text, images and records you upload, enter, store, transmit, or generate through the Service, including business records.
- "Free Plan" means the no-cost tier currently offered.
- "Paid Plan" means any future tier we may introduce for a fee.
3. The Service
Rslip is a cloud-based, multi-tenant business management application offering invoicing, purchase management, CRM, document generation, and financial reporting features designed primarily for Indian small businesses. The Service is provided over the public internet via a web browser. We may add, modify, or discontinue features at any time with reasonable notice where commercially practicable.
4. Eligibility & Your Account
You may create one Account per business entity. You agree to:
- Provide accurate, current, complete and lawful information during registration, onboarding and ongoing use of the Service.
- Keep your account credentials (email, password) confidential and secure. You are solely responsible for all activity carried out under your Account.
- Notify us immediately at support@rslip.com of any unauthorised access or suspected security breach.
- Not create an Account using another person's identity, a false identity, or with credentials obtained without authorisation.
5. Free Plan, Paid Plans & Pricing
The Free Plan is currently offered at no monetary cost. We make no commitment that the Free Plan will remain available, contain the same features, or have the same usage limits in the future. We may introduce Paid Plans, change pricing, or modify plan inclusions at any time. Where a feature you have used is moved from a free tier to a paid tier, your prior data remains accessible (read-only where applicable) and you will be given reasonable advance notice.
If we introduce Paid Plans in the future, the applicable subscription terms (billing, taxes, refunds, auto-renewal) will be incorporated by reference upon your purchase.
6. Customer Content & Data Ownership
6.1 You retain all right, title and interest in and to your Customer Content. We do not claim ownership of your business data.
6.2 You grant Rslip a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, display, and create technical back-ups of Customer Content solely as necessary to (a) operate and provide the Service to you, (b) prevent and address technical or security issues, and (c) comply with law. This licence terminates when the Customer Content is deleted from our systems in accordance with Section 11 and our Privacy Policy.
6.3 You represent and warrant that you have all necessary rights, consents and authority to upload Customer Content and that it does not infringe any third-party intellectual property, privacy, or other rights, and complies with applicable law.
6.4 You can export your Customer Content at any time using the built-in Backup feature, which produces a JSON file containing every record in your Account.
7. Acceptable Use
You must not, and must not permit any third party to:
- use the Service to store, generate, transmit or distribute content that is illegal under Indian law, including content that is defamatory, obscene, fraudulent, infringing of intellectual property, that contains personal data of others without lawful basis, or that violates any applicable tax, anti-money-laundering, anti-corruption, sanctions, or consumer-protection law;
- attempt to access, probe, scan, or test the vulnerability of the Service or any associated system, except via a coordinated, written security-research engagement with us;
- attempt to access another User's Account or Customer Content;
- reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service except to the extent expressly permitted by applicable law;
- use the Service to send unsolicited bulk communications (spam), to host or distribute malware, or to conduct denial-of-service attacks;
- resell, sublicense, lease, rent, time-share, white-label or otherwise commercially exploit the Service without our prior written consent;
- circumvent any plan limits, quotas, paywalls or rate limits;
- scrape or use automated means (other than backup and export features we provide) to extract data from the Service.
We may investigate suspected violations and take any action we deem appropriate, including warning, suspension, or termination of your Account, and reporting to law enforcement where required.
8. Service Availability & "AS IS" Disclaimer
We aim for high availability but do not guarantee uninterrupted, error-free, or perfectly secure service. The Service may be unavailable from time to time due to scheduled maintenance, third-party outages (including outages of our hosting, database or DNS providers), security incidents, force majeure events, or other causes outside our control. We do not provide any service-level agreement (SLA) on the Free Plan.
To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy of data, non-infringement, and quiet enjoyment. No oral or written information or advice given by Rslip creates any warranty.
9. Tax, Accounting & Professional Advice
Rslip is a software tool that helps you record and present business information. It is not a substitute for professional accounting, tax, legal or financial advice. GST calculations, invoice numbering, ledger balances, and reports are generated from the data you input — you are solely responsible for verifying the accuracy of that data and the resulting outputs with your chartered accountant or qualified tax adviser before relying on them for any statutory filing, tax return, or commercial decision. We accept no liability for tax-filing errors, regulatory penalties, audit findings, missed deadlines, or any other adverse consequences arising from your use of the Service.
10. Customer Backups & Data Loss
While we maintain operational back-ups of the database infrastructure for our own disaster-recovery purposes, those back-ups are not intended as a per-User restore mechanism. You are responsible for regularly downloading your own backup using the in-app Backup feature. To the maximum extent permitted by law, we are not liable for any loss, corruption, deletion, or inaccessibility of Customer Content, regardless of cause.
11. Suspension & Termination
11.1 Termination by you. You may stop using the Service and delete your Account at any time by emailing grievance@rslip.com. Deletion is final and irreversible — please download a backup first.
11.2 Termination by us. We may suspend or terminate your Account immediately, with or without notice, if we reasonably believe you have violated these Terms, the Privacy Policy or applicable law; if your Account is dormant for more than 12 months; if a third-party requirement (such as legal process) requires it; or if we discontinue the Service entirely.
11.3 Effect of termination. Upon termination, your right to access the Service ceases. We will delete your Customer Content in accordance with the retention schedule in the Privacy Policy. Sections that by their nature should survive termination (including 6, 7, 8, 9, 10, 12, 13, 14, 16, 17, 18) will survive.
12. Intellectual Property
The Service, including its software, source code, design, look-and-feel, trademarks, logos, brand assets ("rslip", the Rslip wordmark and mark), and accompanying documentation, are owned by Rslip and/or its licensors and are protected by Indian and international intellectual property laws. Except for the limited right to access and use the Service for your business as expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
You may use brand assets only with prior written permission. Any feedback, suggestions or ideas you provide about the Service may be used by us without obligation or compensation to you.
13. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Rslip, its operators, officers, employees, contractors, agents, suppliers and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your Customer Content; (c) your breach or alleged breach of these Terms or applicable law; (d) any claim by a third party (including any of your customers, suppliers or employees) that arises from your business activities or invoices/documents generated through the Service; and (e) your negligence or willful misconduct.
14. Limitation of Liability
14.1 To the maximum extent permitted by applicable law, in no event shall Rslip or its operators, officers, employees, contractors, agents, suppliers or affiliates be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunity, lost goodwill, lost data, regulatory penalties, taxation liabilities, business interruption or cost of substitute services, whether arising in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility of such damages.
14.2 Without limiting the foregoing, our aggregate liability arising out of or relating to these Terms, the Privacy Policy or your use of the Service shall not exceed the greater of (a) the total amount you have actually paid to us for the Service in the 12 months immediately preceding the event giving rise to the claim, or (b) ₹1,000 (Indian Rupees one thousand). Where you use the Free Plan, this cap is ₹1,000.
14.3 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law (for example, liability for fraud, willful misconduct, or gross negligence).
15. Third-Party Services
The Service operates on infrastructure and tools provided by third parties (including Supabase, Cloudflare and others). We are not responsible for the acts, omissions, or content of any third-party service or website that the Service links to or integrates with. Your use of any third-party service is subject to that party's own terms.
16. Force Majeure
Neither party shall be liable for any failure or delay in performance to the extent caused by events outside its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government actions, internet or telecom failures, third-party hosting or platform outages, cyber-attacks, pandemics, strikes or labour disputes.
17. Changes to these Terms
We may modify these Terms from time to time. Material changes will be notified to you by email or via an in-app notice at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and may delete your Account.
18. Governing Law, Jurisdiction & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to the dispute resolution mechanism below, the courts at New Delhi, India shall have exclusive jurisdiction over any dispute, controversy or claim arising out of or in connection with these Terms or the Service.
Dispute resolution. Before initiating any legal proceeding, the parties shall first attempt in good faith to resolve any dispute through written notice and discussion for a period of at least 30 days from the date of the notice. If unresolved, the parties may refer the dispute to mediation or arbitration by mutual written agreement; failing such agreement, either party may approach the competent courts at New Delhi.

20. Miscellaneous
- Entire agreement. These Terms together with the Privacy Policy constitute the entire agreement between you and Rslip regarding the Service and supersede any prior agreement.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it valid.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
- No agency. Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between you and us.
- Notices. We may send notices to the email address associated with your Account. You may send notices to us at support@rslip.com.
- Language. These Terms are drawn up in English. Any translation provided is for convenience only and the English version prevails.
